No legal jargon

No legal jargon

No more reading contracts with a magnifying glass

Most law firms in Lodz send reports that are 150 pages long. Half of it is quotes from laws that no one reads. At Consilium Krasiński, we do it differently. Our M&A audit document usually has from 11 to 16 pages. Every sentence is there so you know whether it's worth putting money on the table or if it's better to run. If 4 key leasing contracts are missing in the papers of a purchased transport company from Polesie, we will write it in bold on the first page. We don't hide problems in footnotes at the end of the document.

A report you will actually understand

We conduct the audit as if we were buying the company ourselves. In October 2024, we were checking a small sewing room for an investor from Germany. We found an error in overtime settlements for 23 employees that could have cost the new owner 87,500 PLN in case of an audit. We explained it in three minutes over the phone, without using Latin phrases. We speak with a human voice because we know time is a concrete currency for you. We sit at the table with you and point out exactly where the catch is in the contract offered by a foreign concern.

Working with us is not about throwing paragraphs around. We focus on hard data. We analyze cash flows from the last 3 years and check if contractors actually pay invoices on time. In one project in Q2 2024, we discovered that 31% of the company's revenue came from one customer who was just filing for bankruptcy. These are the facts that decide your profit, not decorative adjectives in the share sale agreement.

Concrete conclusions instead of theory

Our approach is simple: you get a list of risks divided into critical ones and those that can be fixed after the purchase. We don't play at diplomacy. If a machine valuation at a plant in Widzew is overstated by 42,000 PLN because no one took part wear into account in 2023, we will tell you. We respect your intelligence and don't fluff things up. It happens that we sincerely advise against a transaction — we do it on average in 1 out of 7 cases, because the security of your capital is more important to us than our commission from a closed deal.

  • We point out real debt hidden in contracts with subcontractors.
  • We check the history of court disputes in courts in Lodz and the region.
  • We analyze in black and white how much cash actually remains in the company after paying taxes.
  • We verify if trademarks and patents are actually the property of the seller.

At the end of the day, what matters is that you sleep peacefully after signing the documents at the notary. No legal jargon, no unnecessary stress, and no hidden costs. Our team, currently consisting of 4 analysts, works on concrete numbers. To be honest, we are not the cheapest option on the market, but we are the only ones around Piotrkowska Street giving a report you can read over a coffee break and know everything about your future investment.
